(b)       attached hereto marked "B", is a true and correct copy of the written resolutions ofthe directors of the Borrower on _____________________________________, approving each of the Documents and authorising its execution, signature, delivery and performance, and such resolutions have not been amended, modified or revoked and are in full force and effect;

(c)       attached hereto marked “C” is a true and correct copy of the acceptance by the agent in Singapore of its appointment as agent of the Company for the purpose of accepting service of process;

(d)       the entry into by the Borrower of the Documents and the performance by the Borrower of its obligations under the Documents are within the powers of the Borrower under its constitutive documents, exercisable by the Directors under its constitutive documents and do not require any governmental authorisation or consent or any consent on the part of the Borrower in general meeting or of any class of the members thereof and are not precluded by, nor will they infringe, the provisions of any trust deed, mortgage, charge, agreement or other instrument binding upon the Borrower; and

(e)       to the best of the knowledge, information and belief of the Borrower there is no pending litigation (civil as well as criminal) or arbitration against the Borrower which may have a material adverse effect on the Borrower, its assets or its ability to continue business.

The following signatures are the true signatures of the persons who have been authorised to sign the Documents on behalf of the Borrower, to attest to the affixation of the Common Seal of the Borrower to the Bank and to give all notices and communications, required or permitted to be given by or on behalf of the Borrower, including the Drawing Notice, under or for purposes of the Documents.
